1. Agreement to Terms

By accessing or using the website at ncdeveloper.com (the "Site") or engaging the services of NC – Developer, LLC ("Company," "we," "us," or "our"), you ("Client," "User," or "you") agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access the Site or engage our services. These Terms constitute a legally binding agreement under the laws of the State of Maryland.

2. Company Information & Maryland LLC Status

NC – Developer, LLC is a Maryland limited liability company duly formed and registered with the Maryland State Department of Assessments and Taxation (SDAT) under the Maryland Limited Liability Company Act (Md. Code, Corps. & Assocs. § 4A-101 et seq.).

As a Maryland LLC, our members' personal liability is limited in accordance with the Maryland Limited Liability Company Act. The Company is a separate legal entity from its members.

3. Services Offered

NC – Developer, LLC provides boutique mobile and web application development services, including but not limited to:

Specific scope, deliverables, timelines, and pricing for any project are governed by a separate written Statement of Work (SOW) or service agreement entered into with each client. In the event of any conflict between these Terms and a signed SOW, the SOW shall govern.

5. Client Agreements & Project Terms

Project Initiation

All client projects require a signed Statement of Work or service agreement before work begins. Project initiation is contingent upon receipt of any required deposit as specified in the agreement.

Client Responsibilities

Clients are responsible for providing timely feedback, required assets and content, access credentials, and approvals necessary for project completion. Delays caused by client inaction may affect project timelines without penalty to NC – Developer, LLC.

Revisions

The number of included revisions is specified in each project agreement. Additional revisions beyond the agreed scope will be billed at our standard hourly rate.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives termination of the service agreement.

6. Payment Terms

In the event of non-payment, NC – Developer, LLC reserves all rights under Maryland law, including the right to pursue collection through the Maryland court system and to retain a lien on deliverables until payment is received in full.

7. Intellectual Property

Client Deliverables

Upon receipt of full payment, NC – Developer, LLC assigns to the client all rights, title, and interest in the custom-developed deliverables specified in the project agreement, except for any Third-Party Components (see below).

Third-Party Components

Deliverables may include open-source libraries, frameworks, or third-party components. These remain subject to their respective licenses, and clients are responsible for compliance with those licenses.

NC – Developer Retained Rights

NC – Developer, LLC retains all rights to its proprietary methodologies, frameworks, tools, know-how, and general knowledge acquired during the course of the engagement. We also reserve the right to display completed work in our portfolio unless a written non-disclosure agreement specifies otherwise.

All content on this Site — including text, graphics, logos, icons, and images — is the property of NC – Developer, LLC and protected by U.S. copyright law. Unauthorized reproduction or use is prohibited.

You agree not to use this Site or our services to:

9. Disclaimer of Warranties

THE SITE AND ANY INFORMATION PROVIDED THEREON ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

NC – Developer, LLC does not warrant that: (a) the Site will be uninterrupted, error-free, or secure; (b) the results obtained from use of the Site will be accurate or reliable; or (c) any errors will be corrected.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. To the extent required by Maryland law, including the Maryland Consumer Protection Act, this disclaimer shall be construed to permit only the maximum limitation allowed by law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE MARYLAND LAW, NC – DEVELOPER, LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL LIABILITY OF NC – DEVELOPER, LLC TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO NC – DEVELOPER, LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Maryland law may provide you with additional rights. Nothing in this section limits rights that cannot be waived under the Maryland Consumer Protection Act or other applicable law.

You agree to defend, indemnify, and hold harmless NC – Developer, LLC and its members, managers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

12. Governing Law & Dispute Resolution

Governing Law

These Terms and any dispute arising out of or related to them or our services shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions.

Jurisdiction & Venue

Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Baltimore County or Baltimore City, Maryland, and the parties hereby consent to personal jurisdiction and venue in those courts.

Informal Resolution

Before filing any formal legal action, the parties agree to attempt in good faith to resolve any dispute informally by contacting NC – Developer, LLC at legal@ncdeveloper.com. We will respond within 30 days. If the dispute cannot be resolved informally within 60 days, either party may pursue formal legal remedies.

Attorneys' Fees

In any dispute arising from these Terms, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs to the extent permitted by Maryland law.

13. Maryland Consumer Protection Compliance

NC – Developer, LLC is committed to full compliance with the Maryland Consumer Protection Act (Md. Code, Com. Law § 13-101 et seq.) and all related regulations enforced by the Maryland Attorney General's Consumer Protection Division. We prohibit:

Additionally, the Maryland Online Data Privacy Act (MODPA), in full enforcement as of April 1, 2026, governs how we collect and process personal data. See our Privacy Policy for full details.

14. Privacy

Your use of our Site and services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By agreeing to these Terms, you acknowledge that you have read and understood our Privacy Policy.

15. Termination

NC – Developer, LLC may terminate or suspend access to our services at any time, with or without cause, upon reasonable notice. Causes for termination include but are not limited to:

Upon termination, all licenses granted under these Terms will immediately cease. Provisions that by their nature should survive termination — including intellectual property rights, payment obligations, disclaimers, limitations of liability, and governing law — shall survive.

Clients may terminate a project engagement as specified in the applicable service agreement. Early termination fees may apply as described in the SOW.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will post the updated Terms on this page with a revised effective date and, where appropriate, provide notice via email or a Site notification.

Your continued use of our Site or services after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using our Site and services.
